This privacy policy will explain how ModernVivo (Our Company) uses the personal data we collect from you when you visit our websites, register for an account, or otherwise access or use our platform, software, applications, and related services (collectively, the "Services"). ModernVivo Inc. ("ModernVivo," "Our Company," "we," "us," or "our") is the controller responsible for the personal data described in this privacy policy. The Services include the ModernVivo marketplace (the "Marketplace"), through which you can browse listings from third-party scientific research vendors ("Vendors") and connect with those Vendors.

This privacy policy applies to the personal data we handle as a controller, such as information about visitors to our websites and the account, billing, and contact details of our customers and the individuals they authorize to use the Services.

Separately, when a customer uses the Services to upload, process, or analyze content, that content may include personal data that we process on the customer's behalf as a processor (or service provider). In that role, we process such personal data only as instructed by the customer and as described in our agreement with that customer (including any data processing agreement), and the customer's own privacy policy, not this one, governs that processing.

Marketplace Interaction Data: Includes the search terms and queries you enter in the Marketplace, the listings and Vendors you view or click on, and the purchases or interest you indicate.
Marketing and Communications Data: Includes your preferences in receiving marketing from us and your communication preferences.

We may also collect non-personal information, which is data in a form that does not permit direct association with any specific individual. We may collect, use, transfer, and disclose non-personal information for any purpose.

2. How do we collect your data?

We use different methods to collect data from and about you including through:

Direct Interactions: You may give us your identity, contact, and financial data by filling in forms or by corresponding with us by post, phone, email, or otherwise.
Automated Technologies or Interactions: As you interact with our website, we may automatically collect technical data about your equipment, browsing actions, and patterns. We collect this personal data by using cookies, server logs, and other similar technologies.
Third Parties or Publicly Available Sources: We may receive personal data about you from various third parties and public sources.

3. How will we use your data?

We will only use your personal data when the law allows us to. Most commonly, we will use your personal data in the following circumstances:

To register you as a new customer.
To process and electronically deliver requested information.

To manage our relationship with you, including notifying you about changes to our terms or privacy policy.
To administer and protect our business and this website.

To analyze Marketplace search and browsing activity to understand demand for the products and services offered through the Marketplace and to create aggregated market-trend insights.

When Our Company processes your payment information in our application, we may send your data to, and also use the resulting information from, agencies to prevent fraudulent purchases. Payment information in our application is collected solely to be processed by our GDPR- and PCI-compliant payment processors. Payment information is not stored on ModernVivo systems.

Where European Economic Area, United Kingdom, or Swiss data protection law applies, we rely on the following legal bases to process your personal data:

Performance of a contract, to provide the Services, manage your account, and meet our obligations to you.
Our legitimate interests in operating, securing, improving, and promoting our Services, where those interests are not overridden by your rights.
Your consent, for example for certain marketing communications and non-essential cookies (you may withdraw your consent at any time).
Compliance with our legal obligations.

All onward transfers of such payment data to our payment processors are executed pursuant to written agreements satisfying the DPF Onward Transfer Principles, and ModernVivo maintains primary liability under the DPF program for the secure processing of this information.

4. How do we store your data?

Our Company securely stores your data within Google Cloud SQL. All data we store is encrypted both at-rest and in-transit using industry-standard encryption methods.

Our Company will keep your data for the time period during which you are an active user or customer of our applications. Once this time period has expired, we will delete your data by following the GDPR-compliant data deletion steps documented by our vendors.

We retain your personal data only for as long as necessary to fulfill the purposes described in this privacy policy, including to provide the Services and to comply with our legal, accounting, or reporting obligations. ModernVivo is based in the United States, and the personal data we collect may be processed in the United States and in other countries where we or our service providers operate.

Please see the "International Data Transfers" section below for information about the safeguards we apply to such transfers.

5. Marketing

Our Company would like to send you information about products and services of ours that we think you might like. Except as described in the "Marketplace and Vendors" portion of Section 6 below, we do not share your information with third parties for marketing purposes.

If you have agreed to receive marketing, you may always opt out at a later date.

You have the right at any time to stop Our Company from contacting you for marketing purposes or giving your data to other members of the Our Company Group.

6. Who we share your data with

We disclose personal data only as needed for the purposes described in this policy, to the following categories of recipients:

Cloud hosting and infrastructure providers that store and process data on our behalf (including our cloud database provider);
Payment processors and fraud-prevention services, to process transactions and to detect or prevent fraud;
Analytics and advertising partners, as described in the cookies sections below;
Marketplace Vendors, when you express interest in their listings, as described in the "Marketplace and Vendors" portion of this section below;
Affiliates within our corporate group, to operate and support the Services;
Professional advisors (such as lawyers, auditors, and insurers) where necessary to run our business;
Public authorities, regulators, or law-enforcement bodies, where required by law or to protect our rights; and
Acquirers, successors, and their advisors, in connection with any actual or proposed merger, acquisition, financing, reorganization, bankruptcy, dissolution, or sale or transfer of all or substantially all of our assets, including during due diligence for any such transaction.

Except as described below with respect to the Marketplace, we do not sell your personal data, and we do not share it with third parties for their own direct-marketing purposes. Where these recipients act as our agents or service providers, we require them by written contract to provide the same level of protection for personal data as the DPF Principles require.

Marketplace and Vendors. The Marketplace is designed to connect you with Vendors. If you click "Visit Website" or a similar link or button on a Vendor’s listing, or otherwise express interest in a Vendor’s products or services (for example, by requesting a quote or additional information), we may share your contact information (such as your name, email address, title, and company) and the listing(s) you were interested in with that Vendor so that the Vendor can follow up with you, including by contacting you directly. The first time you visit the Marketplace, we will present a notice describing this sharing and asking for your consent, and where required by law (including for users in the European Economic Area, the United Kingdom, and Switzerland) we rely on your consent for this sharing, which you may withdraw at any time. Each Vendor’s use of your information is governed by that Vendor’s own privacy policy, and we encourage you to review it. We may also use data about your use of the Marketplace (such as your search terms and the listings you view) to create aggregated statistics and market-trend insights, such as the number of searches for a particular type of product or service, and we may share or sell those aggregated insights to Vendors and other third parties; these aggregated insights do not identify you.

Referral fees and your choices. Vendors may pay us fees to participate in the Marketplace, including referral fees when we connect users to them. When you express interest in a Vendor’s listing on the Marketplace (for example, by clicking "Visit Website"), we disclose your identifiers (such as your name and email address), professional information (such as your title and company), and related commercial information to that Vendor. You acknowledge that the purpose of the Marketplace is for you to interact with the Vendors and that by interacting with their listings, you are directing use to make the connection between you and the Vendor and disclose this information to them for that purpose.

The Services may include features, such as profiles, comments, forums, reviews, or other collaborative or community tools that allow you to publish or share information or to interact with other users. Any information you choose to share through these features may be read, collected, copied, stored, or used by other users and by third parties, may be indexed by search engines, and may remain available even after you remove it. Information shared in this way is not subject to the protections in this privacy policy, and we are not responsible for information you choose to make available through these features. You should exercise caution before disclosing any personal data through any public or shared feature of the Services.

Our Company would like to make sure you are fully aware of all of your data protection rights. Every user is entitled to the following:

The right to access – You have the right to request Our Company for copies of your personal data. We provide this information free of charge, although where a request is manifestly unfounded, excessive, or repetitive we may charge a reasonable fee or decline to act, to the extent permitted by law.

16. International Data Transfers

ModernVivo is headquartered in the United States and processes personal data there. When we transfer personal data from the European Economic Area, the United Kingdom, or Switzerland to the United States or to other countries that may not provide the same level of data protection, we rely on appropriate safeguards, which may include:

our certification under the EU-U.S. Data Privacy Framework, including the UK Extension to the EU-U.S. Data Privacy Framework, and the Swiss-U.S. Data Privacy Framework, as described below;
the European Commission's Standard Contractual Clauses, where applicable; and/or
another lawful transfer mechanism, including your explicit consent where permitted.

17. EU-U.S., UK, and Swiss-U.S. Data Privacy Frameworks

ModernVivo Inc. complies with the EU-U.S. Data Privacy Framework (EU-U.S. DPF), the UK Extension to the EU-U.S. DPF, and the Swiss-U.S. Data Privacy Framework (Swiss-U.S. DPF) as set forth by the U.S. Department of Commerce. ModernVivo Inc. has certified to the U.S. Department of Commerce that it adheres to the EU-U.S. Data Privacy Framework Principles (EU-U.S. DPF Principles) with regard to the processing of personal data received from the European Union in reliance on the EU-U.S. DPF and from the United Kingdom (and Gibraltar) in reliance on the UK Extension to the EU-U.S. DPF. ModernVivo Inc. has further certified to the U.S. Department of Commerce that it adheres to the Swiss-U.S. Data Privacy Framework Principles (Swiss-U.S. DPF Principles) with regard to personal data received from Switzerland in reliance on the Swiss-U.S. DPF.

If there is any conflict between the terms in this privacy policy and the EU-U.S. DPF Principles and/or the Swiss-U.S. DPF Principles, the applicable Principles shall govern. To learn more about the Data Privacy Framework (DPF) program, and to view our certification, please visit the U.S. Department of Commerce's Data Privacy Framework website at https://www.dataprivacyframework.gov/. Types of data and purposes. The types of personal data we collect, and the purposes for which we use it, are described in the "What data do we collect?" and "How will we use your data?" sections above.

Other U.S. entities. ModernVivo Inc. does not have any U.S. subsidiaries or affiliated U.S. entities that adhere to the DPF Principles under its self-certification.

Onward transfers and liability. ModernVivo discloses personal data to the categories of third parties described in this privacy policy, for the purposes described, and requires those third parties to provide the same level of protection for personal data as required by the DPF Principles. ModernVivo remains responsible for personal data that it processes under the DPF Principles and subsequently transfers to a third party acting as an agent on its behalf, and remains liable under the DPF Principles if its agent processes such personal data in a manner inconsistent with the DPF Principles, unless ModernVivo proves that it is not responsible for the event giving rise to the damage.

Your rights and choices. You have the right to access your personal data and to limit its use and disclosure. Specifically, you have the right to opt-out if your personal data is (i) to be disclosed to a third-party independent controller, or (ii) to be used for a purpose that is materially different from the purpose(s) for which it was originally collected or subsequently authorized. Independent recourse mechanism. In compliance with the EU-U.S. DPF, ModernVivo commits to cooperate and comply with the advice of the panel established by the EU data protection authorities (DPAs) with regard to unresolved complaints concerning our handling of personal data received in reliance on the EU-U.S. DPF. With respect to personal data received from the United Kingdom (and Gibraltar) in reliance on the UK Extension to the EU-U.S. DPF, ModernVivo will cooperate with the UK Information Commissioner’s Office (ICO) and, where applicable, the Gibraltar Regulatory Authority. With respect to personal data received from Switzerland in reliance on the Swiss-U.S. DPF, ModernVivo commits to cooperate and comply with the advice of the Swiss Federal Data Protection and Information Commissioner (FDPIC). EU individuals may direct unresolved DPF complaints to their national DPA. A list of DPA contact details is available at https://edpb.europa.eu/about-edpb/about-edpb/members_en. This independent recourse mechanism is provided at no cost to you.

In compliance with the EU-U.S. DPF, ModernVivo further commits to cooperate and comply with the advice of the panel established by the applicable data protection authorities with regard to unresolved complaints concerning our handling of personal data received in reliance on the EU-U.S. DPF.

Binding arbitration. Under certain conditions, you may be able to invoke binding arbitration for residual complaints regarding our compliance with the EU-U.S. DPF, the UK Extension to the EU-U.S. DPF, and the Swiss-U.S. DPF that are not resolved through the other mechanisms described above. U.S. regulatory oversight. The Federal Trade Commission has jurisdiction over ModernVivo Inc.'s compliance with the EU-U.S. Data Privacy Framework (EU-U.S. DPF), the UK extension to the EU-U.S. DPF, and the Swiss-U.S. Data Privacy Framework (Swiss-U.S. DPF). ModernVivo Inc. is subject to the investigatory and enforcement powers of the U.S. Federal Trade Commission.

Disclosure for legal and national security reasons. We may be required to disclose personal data in response to lawful requests by public authorities, including to meet national security or law enforcement requirements.

Data Integrity and Purpose Limitation. ModernVivo limits the collection and processing of personal data to information that is relevant for the purposes described in this policy. We take reasonable steps to ensure that the personal data we process is reliable for its intended use, accurate, complete, and current for as long as we retain it.

19. Your California Privacy Rights

This section applies to residents of California and supplements the rest of this privacy policy. It is provided under the California Consumer Privacy Act, as amended by the California Privacy Rights Act.

Personal information we collect. In the preceding twelve months, we have collected the categories of personal information described in the "What data do we collect?" section above, which include identifiers, customer records, commercial information, internet or other electronic network activity information, geolocation data, and inferences. We collect this information from the sources, and use and disclose it for the business purposes, described in this privacy policy.

Your rights. Subject to certain exceptions, California residents have the right to: (i) know and access the personal information we have collected about them; (ii) request deletion of their personal information; (iii) request correction of inaccurate personal information; (iv) opt out of the sale or sharing of personal information; (v) limit the use and disclosure of sensitive personal information; and (vi) not receive discriminatory treatment for exercising these rights.

How to exercise your rights. You may exercise these rights by contacting us at gdpr@modernvivo.com. We will verify your request before responding, and you may use an authorized agent to submit a request on your behalf. We will not discriminate against you for exercising any of your privacy rights.

Shine the Light. California's "Shine the Light" law permits California residents to request information about our disclosure of personal information to third parties for those third parties' own direct marketing purposes. As noted in the "Marketing" section above, we do not share your information with third parties for their own direct marketing purposes.
